Gsheet Invoicer is a product of Host It Buddy PTE LTD.

Please read these Terms of Service ("Terms") carefully before using Gsheet Invoicer ("the Service", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using Gsheet Invoicer, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Gsheet Invoicer is a web application that allows you to create and manage invoices using Google Sheets as a backend and Google Drive for PDF storage. The Service acts as an interface to help you organize your invoice data within your own Google Account.

3. Data Storage and Ownership

Important: We do not store any of your data on our servers. All your invoices, customer information, and business data are stored directly in your own Google Account. You retain full ownership and control of all your data.

  • Your data is stored in Google Sheets and Google Drive within your Google Account.
  • We have no access to your data outside of your active session.
  • We do not create backups or copies of your data. Google Sheets automatically maintains version history, allowing you to view and restore previous versions of your data through Google's built-in revision history feature.
  • You can delete your data at any time by removing the spreadsheet and folder from your Google Drive.

4. Google Account Requirements

To use the Service, you must:

  • Have a valid Google Account
  • Grant the necessary permissions for Google Sheets and Google Drive access
  • Comply with Google's Terms of Service

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You shall NOT:

  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Generate invoices for fraudulent transactions or money laundering
  • Attempt to reverse engineer, decompile, or hack the Service
  • Interfere with or disrupt the Service or servers
  • Use automated scripts, bots, or scrapers to access the Service
  • Impersonate any person or entity
  • Transmit viruses, malware, or other malicious code
  • Violate any applicable laws or regulations
  • Use the Service to send spam or unsolicited communications
  • Resell or redistribute the Service without authorization

Violation of this Acceptable Use Policy may result in immediate termination of your access to the Service.

6. Subscriptions and Payments

If you purchase a subscription to access premium features:

  • Payment is processed securely through Stripe. We do not store your payment information.
  • Subscriptions automatically renew unless cancelled before the renewal date.
  • You can cancel your subscription at any time through your account settings.
  • Prices are subject to change with 30 days notice to existing subscribers.

No Refund Policy: All subscription payments are final. No refunds will be provided for any subscription fees, including but not limited to partial month refunds, refunds for unused periods, or refunds for any reason after purchase. By subscribing, you acknowledge and agree to this no-refund policy.

7. User Responsibilities

You agree to:

  • Provide accurate information when using the Service
  • Maintain the security of your Google Account
  • Comply with all applicable laws and regulations regarding invoicing and taxation in your jurisdiction
  • Ensure that invoices generated meet your legal and business requirements
  • Be solely responsible for the content of your invoices

8. Third-Party Services

Dependency Notice: The Service relies on third-party services including Google APIs (Sheets, Drive) and Stripe for payments. Changes to these services may affect the functionality of Gsheet Invoicer.

Your use of the Service involves the following third-party services:

  • Google APIs: The Service depends on Google Sheets and Google Drive APIs. Your use is subject to Google's Terms of Service. We are not responsible for any changes, interruptions, deprecations, or issues with Google's services that may affect functionality.
  • Stripe: Payment processing is handled by Stripe, subject to Stripe's Terms of Service.

We are not liable for any damages or losses arising from the unavailability, changes, or discontinuation of any third-party service. If Google modifies their API terms, pricing, or functionality, it may impact the Service, and we reserve the right to modify or discontinue features accordingly.

9. Service Availability and Uptime

We strive to provide reliable service, however:

  • We do not guarantee any specific uptime percentage or availability.
  • The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
  • We are not responsible for downtime caused by Google's services, your internet connection, or your device.
  • We reserve the right to perform maintenance at any time, with or without notice.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO GUARANTEES REGARDING UPTIME, RELIABILITY, OR CONTINUOUS OPERATION.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • ACCURACY, RELIABILITY, OR COMPLETENESS OF INVOICES GENERATED
  • UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION
  • COMPATIBILITY WITH YOUR SPECIFIC BUSINESS, TAX, OR LEGAL REQUIREMENTS
  • THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

YOU USE THE SERVICE AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT INVOICES MEET YOUR LEGAL, TAX, AND BUSINESS REQUIREMENTS.

11. Limitation of Liability

Important: Please read this section carefully as it limits our liability to you.

11.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GSHEET INVOICER, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL
  • BUSINESS INTERRUPTION OR LOSS OF USE
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES ARISING FROM ERRORS IN INVOICES OR CALCULATIONS
  • DAMAGES ARISING FROM SERVICE INTERRUPTIONS OR DOWNTIME
  • DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR DATA
  • DAMAGES ARISING FROM THIRD-PARTY SERVICES (INCLUDING GOOGLE)

REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE LIMITED AS FOLLOWS:

  • Free Plan Users: WE SHALL HAVE NO LIABILITY WHATSOEVER. You acknowledge that you are using the Service at no cost and accept all risks associated with such use.
  • Pro Plan Subscribers: Our liability shall not exceed the pro-rated value of the unused portion of your current subscription period at the time the claim arose. For example, if you have 6 months remaining on an annual subscription, our maximum liability would be the annual subscription fee multiplied by (6/12).

IN NO EVENT SHALL OUR LIABILITY EXCEED THE ACTUAL AMOUNT YOU HAVE PAID FOR THE UNUSED PORTION OF YOUR SUBSCRIPTION.

11.3 No Liability for Third Parties

We are not liable for any acts, omissions, or conduct of third parties, including but not limited to Google, Stripe, or any other service provider. Your use of third-party services is at your own risk and subject to their respective terms.

11.4 Basis of the Bargain

THE LIMITATIONS IN THIS SECTION REFLECT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL BASIS OF THE AGREEMENT BETWEEN YOU AND US. THE SERVICE WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Gsheet Invoicer and its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property rights
  • Any content you create, submit, or generate through the Service
  • Any fraudulent, illegal, or unauthorized invoices you create
  • Any dispute between you and your customers or clients
  • Your failure to pay applicable taxes or comply with tax regulations

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

13. Termination and Suspension

13.1 Termination by You

You may stop using the Service at any time. To fully terminate your relationship:

  • Cancel any active subscription through your account settings
  • Revoke app permissions from your Google Account settings

13.2 Termination or Suspension by Us

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Violation of these Terms or the Acceptable Use Policy
  • Fraudulent, illegal, or suspicious activity
  • Non-payment of subscription fees
  • Request by law enforcement or government agencies
  • Extended periods of inactivity
  • Technical or security issues
  • Discontinuation of the Service
  • At our sole discretion for any reason

13.3 Effect of Termination

Upon termination:

  • Your right to use the Service will cease immediately
  • Your data remains in your Google Account (we don't store it)
  • No refunds will be provided for any remaining subscription period
  • Sections that by their nature should survive termination will survive, including: Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution

14. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last updated" date at the top of this page
  • For material changes, we will provide notice through the Service interface or via email
  • Changes will be effective immediately upon posting unless otherwise stated

Your continued use of the Service after any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

We encourage you to review these Terms periodically for any updates.

15. Modifications to Service

We reserve the right to:

  • Modify, update, or discontinue any part of the Service at any time
  • Add or remove features with or without notice
  • Change pricing for subscriptions with 30 days notice to existing subscribers
  • Impose limits on certain features or restrict access

We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Delaware, United States. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

17. Dispute Resolution

17.1 Informal Resolution

Before filing any formal legal action, you agree to attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute within 30 days.

17.2 Waiver of Class Actions

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Gsheet Invoicer regarding the use of the Service and supersede any prior agreements.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
